Oracle Corporation (NASDAQ:ORCL) announced today that the European Commission has decided to seek more information regarding Oracle's acquisition of Sun Microsystems by conducting a Phase Two inquiry. The U.S. Department of Justice approved Oracle's proposed acquisition of Sun Microsystems without conditions and terminated the waiting period under the Hart-Scott-Rodino Act on August 20, 2009. Sun's stockholders approved the transaction on July 16, 2009. Closing of the transaction is subject to certain conditions, including clearance by the European Commission.

The European Commission Thursday opened an in-depth antitrust investigation into U.S. software maker Oracle Corp.'s planned $7.4 billion purchase of Sun Microsystems Inc., citing "serious concerns" the deal will stymie competition in the database market.
